1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Kernections ("we," "our," or "us") governing your access to and use of the Kernections platform, website, and mobile application (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use our Services.

2. Use of Services

2.1 Eligibility

You must be at least 16 years old to use our Services. By using our Services, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms.

2.2 Account Registration

To access certain features of our Services, you may need to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

3.1 Event Creation and Management

As an event organizer, you are responsible for:

• Providing accurate and complete information about your events
• Ensuring your events comply with all applicable laws and regulations
• Managing event registrations, communications, and attendee data
• Obtaining necessary permits, licenses, or authorizations for your events
• Implementing appropriate security and safety measures for in-person events

3.2 Event Fees and Payments

If you use our Services to collect payments for events:

• You agree to pay all applicable fees and charges associated with your use of our payment processing services
• You are responsible for accurately describing your refund and cancellation policies
• You must comply with all applicable tax laws and regulations
• We reserve the right to withhold payments or impose other restrictions if we believe you have violated these Terms

3.3 Attendee Participation

As an event attendee, you agree to:

• Provide accurate registration information
• Comply with all event-specific rules and requirements
• Respect the privacy and rights of other attendees
• Use networking features responsibly and professionally

4. Intellectual Property

Our Services and their contents, features, and functionality are owned by Kernections and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not use, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as follows:

• Your computer may temporarily store copies of such materials incidental to your accessing and viewing those materials
• You may store files that are automatically cached by your web browser for display enhancement purposes
• You may print or download one copy of a reasonable number of pages of the website for your own personal, non-commercial use and not for further reproduction, publication, or distribution
• If we provide social media features with certain content, you may take such actions as are enabled by such features

5. User Content

Our Services may allow you to post, submit, publish, display, or transmit content ("User Content"). By providing User Content, you grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, copy, modify, create derivative works based on, distribute, publicly display, publicly perform, and otherwise exploit such User Content in connection with the Services.

You represent and warrant that:

• You own or control all rights in and to the User Content or have the right to grant the license above
• The User Content does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person or entity
• The User Content does not contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable

We reserve the right to remove any User Content that violates these Terms or that we determine, in our sole discretion, is otherwise objectionable.

6. Limitation of Liability

To the maximum extent permitted by law, Kernections and its officers, directors, employees, agents, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall our total liability to you for all claims exceed the amount paid by you, if any, for accessing or using our Services during the twelve (12) months preceding the claim.

7. Disclaimer of Warranties

Our Services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our Services will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that our Services or the servers that make them available are free of viruses or other harmful components.

8. Indemnification

You agree to defend, indemnify, and hold harmless Kernections and its officers, directors, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

9. Termination

We may terminate or suspend your account and access to our Services immediately, without prior notice or liability, for any reason, including but not limited to, if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of South Africa, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or your use of the Services shall be resolved through binding arbitration in accordance with the rules of the Arbitration Foundation of Southern Africa. The arbitration shall take place in Cape Town, South Africa, and the language of the arbitration shall be English.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. The most current version will be posted on our website with the effective date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
